These Terms of Service (“Terms”) govern your access to and use of Open Success Convert and related services provided by Open Success AI Pty Ltd (“Open Success Convert”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Services.
1. The Services
Open Success Convert provides an AI-powered financial document extraction, verification, conversion, and export platform designed to assist users in converting financial documents into structured accounting-compatible data.
The Services may support the extraction and conversion of information from financial documents including:
- Bank statements
- Credit card statements
- Invoices
- Receipts
- Bills
- Other supported document formats
The Services are provided on a software-as-a-service (SaaS) basis.
The Services utilise artificial intelligence, automation, and multimodal document processing technologies to analyse, extract, structure, verify, and convert financial information. Outputs are generated using automated systems and may contain errors, omissions, inaccuracies, or formatting inconsistencies.
The Services are intended to assist users and do not replace human review, professional judgement, accounting controls, or compliance obligations. Users remain responsible for reviewing, validating, and approving all outputs prior to use.
2. No Professional Advice
Open Success Convert provides software tools and automated document processing functionality only.
The Services do not constitute accounting, taxation, financial, legal, audit, or professional advice.
Any outputs, extracted data, classifications, verifications, conversions, or generated exports are provided for informational and operational purposes only.
You should obtain independent professional advice where appropriate and remain solely responsible for reviewing and validating all outputs before relying on them for accounting, financial, tax, compliance, regulatory, or business purposes.
3. AI and Automated Outputs
You acknowledge that the Services rely on artificial intelligence, machine learning, automation, and probabilistic systems.
Outputs generated by the Services may contain inaccuracies, omissions, extraction errors, formatting inconsistencies, classification errors, or validation errors.
Open Success Convert does not guarantee that outputs will always be complete, accurate, error-free, or suitable for any specific purpose.
You remain solely responsible for independently reviewing, validating, and approving all outputs prior to relying on them for accounting, financial, legal, tax, compliance, regulatory, or business purposes.
4. User Responsibilities
You acknowledge and agree that:
- You are responsible for reviewing and approving all data processed by the Services
- You are responsible for verifying outputs before using them for accounting, reporting, tax, compliance, or financial purposes
- You are responsible for all decisions made based on outputs generated by the Services
- You are responsible for ensuring that your use of the Services complies with applicable laws and regulations
- You are responsible for maintaining copies and backups of your own documents and records
- You are responsible for ensuring you have the necessary rights, permissions, and authority to upload and process documents through the Services
5. Anonymous and Free Access
Certain features of the Services may be made available without account registration or on a free, trial, promotional, beta, pilot, or limited-use basis.
Open Success Convert may impose usage limits, feature restrictions, processing limitations, page limits, storage limits, or temporary access conditions at its discretion.
We reserve the right to modify, suspend, restrict, or discontinue free or anonymous access features at any time without liability or obligation.
6. User Accounts and Security
You are responsible for:
- Maintaining the confidentiality and security of your login credentials
- Restricting unauthorised access to your account
- Securing your own devices, systems, browsers, and email accounts
- Promptly notifying us of any suspected unauthorised access or security incident relating to your account
We may suspend or restrict accounts where we reasonably believe unauthorised access, abuse, fraud, or security risks may exist.
7. Data Usage and Permissions
7.1 Your Data
You retain ownership of all documents, extracted data, exports, and other information uploaded to or generated through the Services (“User Data”).
You grant Open Success Convert a limited, non-exclusive, worldwide, royalty-free licence to access, process, store, transmit, and use User Data solely for the purpose of:
- Providing and operating the Services
- Maintaining platform functionality, reliability, and security
- Supporting processing, conversion, export, and verification functionality
- Troubleshooting, support, and operational maintenance
- Complying with legal and regulatory obligations
- Open Success Convert may use information submitted through support requests, feedback submissions, feature requests, and bug reports for the purpose of operating, supporting, and improving the Services.
7.2 AI Processing
Open Success Convert uses AI-assisted automated processing technologies, including multimodal AI models with embedded document understanding capabilities, to process uploaded documents.
Open Success Convert does not use uploaded documents or extracted data to train public or shared AI models.
7A. Communications
You agree that Open Success Convert may send communications reasonably related to the operation, security, maintenance, support and improvement of the Services. These may include account notifications, authentication messages, service notifications, usage notifications, security alerts, support responses, product and service updates, feature announcements, feedback requests, research invitations and legal notices.
Some communications are necessary for the operation, security, maintenance or legal administration of the Services and may not be optional.
Where required by law, marketing, promotional, referral or sales communications will only be sent with appropriate consent and may be unsubscribed from at any time.
8. Data Retention and Availability
Open Success Convert is designed primarily as a temporary processing and conversion platform and not as a long-term document storage service.
Anonymous uploads are generally not retained after processing is completed.
For registered users, uploaded documents and related outputs may be temporarily retained for up to 3 days to support user workflows, exports, operational reliability, and support functionality.
Users are responsible for downloading, exporting, and retaining copies of their own documents, outputs, and records.
We do not guarantee long-term storage, ongoing accessibility, recovery, or preservation of uploaded documents, outputs, or processing history.
9. Third-Party Services and Integrations
The Services may rely on or integrate with third-party providers including cloud infrastructure providers, AI providers, payment processors, analytics providers, storage providers, accounting platforms, and other technology providers.
Where users choose to use integrations or exports involving third-party services, certain information may be transferred to or processed by those providers in accordance with the user’s instructions and the functionality of the Services.
Your use of third-party services is governed by the terms, privacy policies, and practices of those third parties.
We do not control and are not responsible for the availability, performance, security, privacy practices, or operations of third-party services or platforms.
10. Fees and Payment
The Services may be offered on a subscription, usage-based, prepaid, promotional, or free basis.
Unless otherwise stated:
- Fees are exclusive of applicable taxes, including GST
- You are responsible for all applicable taxes and charges
- Pricing may change from time to time
- Updated pricing may apply from the next applicable billing period
Payments may be processed by trusted third-party payment providers.
Open Success Convert does not directly store full payment card details.
11. Acceptable Use
You agree not to:
- Violate any applicable law or regulation
- Upload or process data without proper authorisation
- Use the Services for fraudulent, unlawful, misleading, or harmful activities
- Upload malicious software, harmful code, or disruptive content
- Attempt to gain unauthorised access to systems, accounts, infrastructure, or data
- Interfere with or disrupt the Services or related infrastructure
- Reverse engineer, probe, benchmark, scrape, or attempt to discover underlying models, algorithms, or source code
- Use bots, scripts, or automated methods to abuse usage limits or system resources
- Use the Services to build or train competing products or services
We may suspend, restrict, or terminate access where we reasonably believe unacceptable use, abuse, fraud, or security risks exist.
12. Service Availability
While we aim to provide reliable and uninterrupted Services, Open Success Convert does not guarantee continuous availability, uninterrupted access, or error-free operation.
The Services may be affected by:
- Maintenance
- Updates
- Infrastructure failures
- Third-party service interruptions
- Internet or network failures
- Security incidents
- Events outside our reasonable control
We may perform maintenance, updates, modifications, or emergency actions without prior notice where reasonably necessary.
The Services are provided on an “as is” and “as available” basis.
13. Data Security
We implement reasonable technical, organisational, and administrative safeguards appropriate to the nature and sensitivity of the information processed through the Services.
Such safeguards may include:
- Encryption of data in transit and at rest
- Secure cloud and infrastructure deployment practices
- Authentication and access control mechanisms
- Role-based access permissions
- Monitoring, logging, and security detection systems
- Security review, maintenance, and operational procedures
Access to information is restricted to authorised personnel and service providers on a need-to-know basis and subject to appropriate confidentiality obligations.
While we take reasonable steps designed to protect information, no internet transmission, cloud environment, or electronic storage system can be guaranteed to be completely secure or error-free.
14. Intellectual Property
14.1 Our Intellectual Property
All intellectual property rights in the Services, including software, interfaces, branding, workflows, models, algorithms, designs, and underlying technology, are owned by or licensed to Open Success Convert.
Nothing in these Terms grants you ownership rights in the Services.
You are granted a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms.
14.2 Your Data
You retain ownership of all User Data uploaded to or generated through the Services.
14.3 Outputs
Subject to your compliance with these Terms, you may use outputs generated by the Services for your lawful personal or business purposes.
You acknowledge that outputs are generated using automated systems and may not be unique.
15. Beta and Experimental Features
From time to time, Open Success Convert may provide beta, preview, experimental, pilot, or early-access features.
Such features may:
- Be incomplete or unstable
- Contain errors or limitations
- Be modified or discontinued at any time
- Be subject to additional restrictions or usage conditions
Use of beta or experimental functionality is at your own risk.
16. Limitation of Liability
To the maximum extent permitted by law:
(a) Open Success Convert excludes liability for any indirect, incidental, special, punitive, or consequential loss, including loss of profits, revenue, business opportunity, goodwill, data, or business interruption.
(b) Open Success Convert’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed:
- the total fees paid by you to Open Success Convert in the six (6) months preceding the relevant claim; or
- where no fees have been paid, AUD $100,
whichever is greater.
(c) Nothing in these Terms excludes, restricts, or modifies rights that cannot lawfully be excluded under applicable law, including the Australian Consumer Law.
17. Indemnity
You agree to indemnify and hold harmless Open Success AI Pty Ltd, its directors, officers, employees, contractors, and agents from and against claims, losses, liabilities, damages, costs, or expenses arising from:
- Your use of the Services
- User Data uploaded or processed through the Services
- Your breach of these Terms
- Your reliance on outputs generated by the Services
- Your violation of applicable law or third-party rights
18. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate access to the Services immediately where we reasonably believe:
- These Terms have been breached
- Security risks exist
- Fraudulent or abusive activity has occurred
- Unauthorised use is occurring
- Suspension is necessary to protect the Services, users, systems, or legal compliance obligations
Upon termination:
- Your right to access the Services will cease immediately
- Access to User Data may be restricted or deleted in accordance with our Privacy Policy
- Certain provisions of these Terms will survive termination by their nature
19. Changes to the Services
We may modify, update, suspend, discontinue, or change the Services from time to time for operational, technical, legal, security, or business reasons.
Where reasonably practicable, we may provide notice of material changes affecting the Services.
20. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be published with the revised effective date.
Continued access to or use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
21. Privacy
Your use of the Services is also governed by the Open Success Convert Privacy Policy.
22. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
